Linqto is establishing a series of proprietary special purpose investment vehicles (SPVs) which it offers on its Investment Platform for Accredited Investors to buy and sell at affordable pricing ($5,000 to $10,000 minimums) for fractional interests in Unicorns and Acorns (early stage private companies). Investments purchased via the Linqto Investment Platform can be listed and sold on the Investment Platform. Each SPV:

  • Owns a discreet parcel of shares in an individual private company’s stock.
  • Offers membership interests in the SPV that represent a portion of those shares as described in the app and the subscription agreement.
  • Total equity per SPV – $250,000 – $2M.
  • Low annual Management Fee.
  • All members of the SPV must be Accredited Investors.

Linqto has created a proprietary Series LLC Delaware structure whereby investors can subscribe for Membership Interests (similar to a Limited Partnership) in the specific Linqto SPV that owns or will own issued securities (e.g. common stock) in a unique, specific private company. Linqto related entities are both the owning Company and Managing Member for all Linqto SPVs.

Yes, there are no restrictions on an investor trading their Membership Interest other than the incoming buyer must be an Accredited Investor and accept the terms of the SPV, so long as the sales is made using the Linqto Investment Platform.

Linqto manages the KYC/AML and Accredited Investor validations of both initial buyers of the membership interests and re-sales. All purchases and sales of the interest must be done via the Linqto Investment Platform to ensure the continued integrity of the SPV.

An investor’s liability or exposure is limited to the amount of their respective subscription amounts of their Membership Interest.

Distributions are made to all holders of Membership Interests at the same time and on a proportionate basis as and when a liquidity event has occurred of the SPV’s Unicorn stock.

Global Investor ID is Linqto’s on-chain immutable, portable, secure, on-chain identity to remove the time and friction to trade more easily. Every investor obtains a unique “Investor Passport” using Linqto’s technology-enabled checks and attestations. Global Investor ID facilitates compliance with:

  • Anti-Money Laudering (AML)
  • Know Your Customer (KYC);

Linqto is now working side-by-side with globaliD which is seeking to boost Internet security by making today’s ubiquitous usernames and passwords obsolete.

Just like every website has a domain name on the Internet, every person and entity has a handle in globaliD. No two parties can have the same name, but users can have multiple names for public and private purposes.

An attestation is an official validation of your identity by a trusted third-party called an “attestation agency.” As a globaliD user, you can collect many different types of attestations such as information from state and federal governments social profile, work affiliations and financial status. These attestations are then attached to our Global Investor ID name and the records are publicly visible.

Linqto users collect recommendations from trusted third parties. These attestations are attached to users’ Global Investor ID name and are visible on a public ledger.

On the profile page in the globaliD app, under “My Attestations”, click on the green “Add New” button.

There is a statutory requirement to collect and verify information on all users of Global Investor ID in order to comply with legislation and regulations regarding Anti-Money Laundering (AML), Counter-Terrorism Financing (CTF) as well as Know Your Client (KYC).

Thus, in accordance with best practice and to target fraud and provide comfort of the bona fides and legitimacy of a counterparty, the use of the Global Investor ID requires that the user satisfies all AML, CTF and KYC obligations. All accounts undergo a simple but robust identification check to confirm your identity as an individual or company.

Global Investor ID has a fully digital process for onboarding user attestations for AML, KYC and KYC which is simple to navigate and should take less than a couple of minutes to complete.

Only Qualified Institutional Buyers (“QIB”) or Accredited Investors trade on our platform.

To trade as a user on our platform you must have current, valid attestations as being a QIB or Accredited Investor.

Under United States law, a QIB is a company that manages at least US$100M of securities on a discretionary basis or is a registered broker-dealer investing at least US$10M in non-affiliate securities. A QIB can trade privately placed securities with other qualified institutional investors under SEC Rule 144A, which provides a safe harbor exemption from SEC registration.

An Accredited Investor is a term used by the USA Securities and Exchange Commission (SEC) under Regulation D to refer to investors who are financially sophisticated and have a reduced need for the protection provided by certain government filings. In order for an individual to qualify as an accredited investor, he or she must accomplish at least one of the following:

Earn an individual income of more than US$200,000 per year, or a joint income of US$300,000, in each of the last two years and expect to reasonably maintain the same level of income.

Have a net worth exceeding US$1M, either individually or jointly with his or her spouse.

Be a general partner, executive officer, director or a related combination thereof for the issuer of a security being offered.

As a globaliD user, your personal information is kept private and only you can choose who to share it with.

Users can attest their personal information with a third-party provider of their choosing in exchange for public attestations. For instance, you can verify your phone number. Once verified, the user receives an attestation that shows that they control that specific phone number. In this case, your personal identifiable information – such as the specific digits of your phone number – remain private and secure.

Your public Global Investor ID, the general attestation categories and the corresponding timestamp regarding time of attestation are published on the globaliD publication attestation database at This process eliminates the need for users to redundantly share their personal information with multiple parties in order to prove their identity or trustworthiness and allows them to remain in full control of their identity and data.

To protect your personal information from unauthorized access and use, both Linqto and globaliD use security measures that comply with the laws in your jurisdiction. These measures include computer safeguards and secured files and buildings.

Both Linqto and globaliD also maintain other physical, electronic and procedural safeguards to protect this information and limit access to information to those employees for whom access is appropriate. Specifically, your information is stored on servers in an encrypted state such that only you or anyone you specifically provide access to can decrypt your information.

A copy of your information is stored in a “Cold Storage facility” which is not directly connected to the World Wide Web but can be accessed manually with appropriate requests such as court orders, legal investigation, or requests by service providers to which you explicitly provide access.

Any information you chose to designate Public will be available publicly. You cannot reverse this designation and this public information may be shared with anyone requesting it.

We do not share any private information about you unless you specifically provide your permission to do so. In cases when we are under a legal obligation to provide your private information, the laws in your jurisdiction may require full compliance with such requests.

No two parties can have the same name, but users can have multiple names for public and private purposes. You cannot change you globaliD name once it has been claimed.

Your sensitive, personally identifiable information remains private and secure on your biometrically secured mobile device in an encrypted form. No one can access it without your consent, even globaliD itself.

Once a user has logged in they can amend their personal details by simply visiting the User tab, using the “Account” dropbox and then making changes.

On the profile page in the globaliD app, click on the Edit icon. Next, click on the camera icon and select from the choices to take a photo or choose from your library. Note that, similar to government ID photos, this profile proto officially represents you, so it must be your face is easily recognizable.

When uploading a new profile photo, please ensure that your face fills the entire marked area and that you are uploading a photo with a clear image of your face.

On the profile page in the globaliD app, click on the Edit icon and then select the “About Me” section to begin editing.

A user may only have one globaliD name on a given device. If you wish to change your globaliD name, you will need to revoke your current globaliD name by following the “revoke/restore” instructions (below). Once this is done, you can revoke back your globaliD name. Names, once claimed, cannot be changed.

After clicking on the “More” section in the globaliD app, select “Security.” You can then choose whether to turn this functionality on or off.

After clicking on the “More” section of the app, select “Security” and then select the field that says, “Require PIN or Touch ID before sensitive actions.”

You can find a copy of your globaliD restore key in the globaliD app. Under More >”Restore Key.”

In the unfortunate event that you misplace your mobile phone or no longer have access to your device, you can revoke access to your globaliD account by uninstalling and re-installing the app. If you do this, you will need to begin the onboarding process again.

Alternatively, you can also revoke your globaliD via our website (, where you will need to enter (1) your globaliD name and (2) your revoke passcode.

Before revoking your globaliD, please save a copy of your personalized revoke code because after you revoke, you will no longer be able to access your account.

Should you choose to restore access to your globaliD account in the future, you will need to provide both your globaliD name and your personalized revoke code.

For All Customers – You are the owner of your personal information. We believe it is your inalienable right to maintain control over your personal information at all times. We never share any of your information without your consent unless we are compelled to do so by law enforcement agencies.

We understand that the security of your data and information is important. We provide reasonable administrative, technical, and physical security controls to protect your data and information. However, despite our efforts, no security controls can be 100% effective and we cannot, and do not guarantee or warrant the ultimate security of your data and information.

Users have the ability to control sensitive content within our platform. Our platform requires a visitor to log in with a username and password (available to registered users only) in order to gain access. A user can update their password within the Account section of our platform, however that password is not viewable in plain‐text nor will the password be viewable in plain‐text through email communication such as email campaigns. Except what is publicly available, we cannot disclose any additional details about our infrastructure and security systems in place, since this is considered sensitive information.

All user data is housed in facilities in compliance with local legislation and regulation regime(s).

Linqto has a preliminary listings review process that should normally be authorised within two (2) business days assuming sufficient documentation and details are provided by the Seller.

At all times Linqto complies with cross market jurisdictions and, if necessary, for certain securities and investments classes that may be transacted across multiple jurisdictions. Linqto has or will (subject to each of our Investment Platform Rules) ensure that the offerings by Sellers and the transactions with Buyers comply with relevant jurisdictional rules and regulations. As Linqto current home base is in California and in light of the fact that ALL Buyer Members must be registered QIB/Accredited Investors most restrictions across multiple jurisdictions seeking to protect and regulate dealings with/by retail investors are not applicable for listings offered by Linqto.

Our platform is designed to facilitate efficient connection between Buyers and Sellers. Linqto works within the transactions rules established by the Investment Platform Rules to facilitate direct dialogue between Buyers and Sellers.

Linqto offers and Introduction Service for Sellers of investments to potential Buyers. The Seller and Buyer negotiate the purchase price and terms of any transaction in accordance with the Investment Platform Rules. The team at Linqto are available at all times to handle any queries, concerns or requests by Members.

As a Member, you are bound by your applicable Investment Platform Rules as disclosed in the Mobile App and Site as well as the Privacy Policy and Terms of Use. In addition, all Members must act professionally and ethically at all times in relation to Linqto and its services and keep Linqto fully informed at all times of details and the progress of all transactions between Members.

All Sellers warrant to every Buyer the authenticity, validity and status of all their securities and investments offered on this Site. In addition, Linqto will at all times use its best endeavours to try to ensure all Sellers’ meet all the obligations as set out in the Investment Platform Rules.

Linqto does not hold any Seller or Buyer funds. The practicalities of payment are stipulated in the Investment Platform Rules. Referrals and/or Third Party Escrow services can be arranged as required.

The practicalities of the receipt (whether physically or via contract by title transfer or otherwise) of each security or investment acquired from a Seller is to be in accordance to the regime set out in the Investment Platform Rules.
